Today we are making a transformative announcement for our company. We have reached an agreement for KLA-Tencor to merge with Lam Research, creating what I believe will become the premier company in the semiconductor equipment industry. Lam Research, like us founded nearly 40 years ago, has nearly 7,300 employees worldwide and is an established leader in etch and deposition. Lam Research shares many of our values, specifically, indispensability to our customers, honesty and consistency in our interactions with others, and a drive for continuous improvement.

Together, our two companies have the opportunity to achieve unmatched capability in our industry – a premier company by virtue of culture, customer trust, world class performance and opportunity. The combination of Lam Research and KLA-Tencor will create the second largest semiconductor capital equipment company by revenue, with a global organization of more than 13,000 talented employees. This merger is uniquely complementary, uniting companies with no overlapping products yet close product adjacency and competencies.

Lam Research and KLA-Tencor are great companies on their own, and together they can become the unmatched leader in delivering products and solutions to our customers. I believe that the combined company’s newfound scale, resources and capabilities will allow us to invest even more, and more effectively, in leading edge systems and solutions while also providing greater opportunity for employee growth and development around the world.

From this point forward we will be developing a detailed integration plan to bring these companies together, one which will combine the best practices, learnings and people from each organization. The transaction is expected to close by mid Calendar Year 2016. Until then, it will be business as usual as Lam Research and KLA-Tencor operate as independent companies. During this transition, we will continue to focus on delivering the same high level of systems, solutions and service our customers expect from us. If you have questions, please discuss them with your direct supervisor, understanding that we may not have all the answers yet. We will continue to provide updates on the status of the transaction in the coming weeks and months.
